These Terms & Conditions ("Terms") govern your access to and use of CarAggio Network's websites, dealer portal, supplier portal, APIs, integrations, and related services (collectively, the "Services") provided by CarAggio Network ("CarAggio," "we," "us," or "our").
Acceptance: By accessing or using the Services, creating an account, or placing an order, you agree to these Terms on behalf of yourself and the business entity you represent ("Customer," "you," or "your"). If you do not agree, do not use the Services.
The Services are intended for legitimate businesses (e.g., aftermarket parts dealers, installers, suppliers/brands).
You represent you have authority to bind your business to these Terms.
We may require business verification (licenses, resale certificates, tax IDs, website, proof of operations). We may approve, deny, or revoke access at our discretion.
You must provide accurate, current information and keep it updated.
You are responsible for all activity under your account and for your users' compliance with these Terms.
Keep credentials confidential. Notify us promptly of suspected unauthorized access.
Your designated administrator may manage users, permissions, API keys, export settings, and ordering privileges.
Multiple plans available (Starter, Full Membership, Platform Add-on). Features and limits may vary.
You agree to pay all applicable fees, including membership/subscription fees and transaction fees.
Platform/transaction fees apply to order total as displayed at checkout.
Fees are exclusive of taxes unless stated. You are responsible for sales/use taxes.
CarAggio provides a centralized workflow to browse products and place orders. Unless clearly indicated otherwise at checkout, CarAggio is the seller of record for products sold through the Services, including products shipped from CarAggio-owned or controlled warehouses. We may use authorized logistics partners to ship on our behalf.
Near real-time but can change. Displayed availability is not a guarantee.
Not final until confirmed. We may cancel for fraud, compliance, stock issues, or pricing errors.
We may correct pricing/inventory errors, cancel orders, or adjust terms as permitted by law.
Methods, costs, and lead times are estimates. Risk of loss passes upon delivery to carrier or you.
Return eligibility, windows, restocking fees, and RMA requirements provided in Services or order documentation.
Unless explicitly stated in writing, product warranties are typically provided by the manufacturer/brand. We may assist but don't assume manufacturer obligations.
Inspect shipments promptly and report missing/damaged/incorrect items within specified timeframes.
Improper chargebacks may result in account suspension, revocation, and recovery of fees/costs.
You agree to comply with all applicable laws, including consumer protection, advertising, pricing, tax, and import/export rules.
Certain brands require adherence to Minimum Advertised Price (MAP) or other reseller policies. You are responsible for compliance with all applicable brand restrictions.
You will not use the Services to evade brand restrictions, verification requirements, throttling, or enforcement mechanisms.
We may monitor usage and conduct audits (including reviewing storefront pricing, feeds, and exported catalogs) to verify compliance and protect network integrity.
If we suspect or determine a violation (including MAP violations), we may take one or more actions:
Product content may come from brands, manufacturers, and other sources. We do not guarantee completeness or accuracy.
You are responsible for accuracy, legal compliance, and IP permissions for any content you upload or publish.
You grant CarAggio a non-exclusive, worldwide, royalty-free license to host, reproduce, process, and display your content solely to provide and improve the Services.
We may remove content that violates these Terms, infringes rights, or creates legal/compliance risk.
Subject to plan limits, rate limits, and acceptable use requirements.
We may throttle, suspend, or revoke API access to protect stability, security, or enforce compliance.
You are responsible for your integrations' security and proper configuration.
You may not scrape, crawl, reverse engineer, or extract data outside authorized API/export methods.
The Services, software, workflows, UI, and documentation are owned by CarAggio or its licensors and protected by intellectual property laws.
Brand trademarks, logos, and product media belong to their respective owners. Use may be restricted.
You may not copy, modify, distribute, sell, lease, or create derivative works except as permitted in writing.
You may stop using the Services. Certain plans may require cancellation per billing terms.
We may suspend or terminate immediately for fraud, non-payment, compliance violations, security risk, or breach.
Upon termination, access may end and you may lose access to data/features, subject to retention policies.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
To the maximum extent permitted by law, CarAggio disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that pricing, inventory, fitment, or product content will be accurate, complete, or current.
Indirect Damages: We will not be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, or business interruption).
Liability Cap: Our total liability will not exceed the amount you paid for Services in the six (6) months preceding the event.
You agree to indemnify and hold harmless CarAggio from claims arising from: (a) your use of Services; (b) your content; (c) your resale practices or MAP violations; (d) your breach of these Terms; or (e) your infringement of third-party rights.
15.1 Informal Resolution: Written notice and reasonable opportunity to resolve before arbitration.
15.2 Binding Arbitration: Disputes resolved by AAA arbitration in Missouri, not in court.
15.3-15.4: AAA Commercial Arbitration Rules apply. May proceed in person, by video, or telephone.
15.5 Class Action Waiver: YOU AND CARAGGIO AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A CLASS MEMBER.
15.6 Injunctive Relief: Either party may seek injunctive relief in court for IP misuse, unauthorized access, or security breaches.
15.7 Opt-Out: You may opt out of arbitration by sending written notice within 30 days of first agreeing to these Terms.
Governed by Missouri law. Exclusive jurisdiction in Missouri state or federal courts.
We may update these Terms with notice for material changes. Continued use after the effective date constitutes acceptance.
